Article 1: Scope of Work

1.1 Manufacturing Partner agrees to produce custom tailored garments (suits, jackets, trousers, waistcoats, blouses) according to specifications provided by KHAYBAR.

1.2 All products shall be manufactured to the quality standards outlined in Exhibit A (Quality Standards Document).

1.3 Manufacturing Partner shall use fabrics and materials either:

  • a) Provided by KHAYBAR, or
  • b) Sourced by Manufacturing Partner from pre-approved suppliers with KHAYBAR consent

1.4 Production timelines: Standard orders 30-45 days, Rush orders negotiated separately.

Article 2: Pricing & Payment Terms

2.1 Manufacturing Partner shall provide pricing per garment type, updated quarterly or upon significant material cost changes.

2.2 Payment structure:

  • • 50% deposit upon order confirmation
  • • 50% balance within 7 days of delivery confirmation

2.3 Currency: EUR (Euro)

2.4 Late payment: 1.5% monthly interest after 7-day grace period

Article 3: Quality Assurance & Inspection Rights

3.1 Manufacturing Partner warrants all products meet specifications and quality standards in Exhibit A.

3.2 KHAYBAR reserves the right to inspect production facilities with 48-hour notice.

3.3 Pre-shipment quality control: Manufacturing Partner provides photos of sample garments from each batch.

3.4 Post-delivery inspection period: 24 hours for critical defects, 7 days for minor defects.

3.5 Acceptable defect rates:

  • • Critical defects: 0% (wrong color, size, unwearable)
  • • Major defects: ≤1% (significant stitching issues, material flaws)
  • • Minor defects: ≤3% (cosmetic issues, minor stitching)

3.6 If defect rate exceeds thresholds, Manufacturing Partner shall replace defective units at own cost.

Article 4: Intellectual Property & Confidentiality

4.1 All designs, patterns, specifications, and client information provided by KHAYBAR remain KHAYBAR's intellectual property.

4.2 Manufacturing Partner shall not:

  • a) Reproduce designs for third parties
  • b) Share client information with competitors
  • c) Use KHAYBAR branding without written permission

4.3 Manufacturing Partner may showcase completed products in portfolio with KHAYBAR consent (client identity anonymized unless approved).

4.4 Confidentiality obligations survive contract termination for 3 years.

Article 5: Liability & Indemnification

5.1 Manufacturing Partner liable for defects caused by production errors, material quality, or failure to follow specifications.

5.2 KHAYBAR liable for defects caused by incorrect specifications, design errors, or unsuitable material choices.

5.3 Maximum liability: Value of defective order + direct costs (shipping, replacements). Consequential damages excluded.

5.4 Manufacturing Partner maintains product liability insurance minimum €1,000,000 coverage.

5.5 Force majeure: Neither party liable for delays/failures due to events beyond reasonable control (natural disasters, war, government actions, pandemics).

Article 6: Term & Termination

6.1 Initial term: 12 months from signing date

6.2 Auto-renewal: Contract renews annually unless terminated with 60 days written notice

6.3 Termination for convenience: Either party may terminate with 60 days written notice

6.4 Termination for cause (immediate):

  • a) Material breach unremedied within 30 days of notice
  • b) Bankruptcy or insolvency proceedings
  • c) Repeated quality failures (>10% defect rate on 3 consecutive orders)
  • d) Breach of confidentiality or IP provisions

6.5 Upon termination: Manufacturing Partner completes in-progress orders, returns KHAYBAR materials, deletes confidential information.

Article 7: Governing Law & Dispute Resolution

7.1 This agreement governed by laws of the Netherlands.

7.2 Dispute resolution process:

  • Step 1: Good faith negotiation (14 days)
  • Step 2: Mediation by neutral third party (30 days)
  • Step 3: Binding arbitration in Amsterdam, Netherlands
